Friedrichshafen, March 11, 2013. The transfer of the shares of the minority shareholders of Tognum AG to Engine Holding GmbH has become effective. By judgement dated 15 November 2011 the Local Court of Frankfurt am Main transferred all no-par value bearer shares of Tognum AG (ISIN DE 000A0N4P43), which are not yet owned by Engine Holding GmbH, against payment of a cash compensation of EUR 26.00 per bearer share to Engine Holding GmbH. The Court of Appeals of Frankfurt am Main dismissed the appeal against this decision by judgement dated 21 May 2012. The appeals to the Federal Supreme Court against the decision of the Court of Appeals of Frankfurt am Main have now been withdrawn. Therefore the judgement of the Local Court of Frankfurt am Main dated 15 November 2011 has become effective. The Federal Supreme Court has issued a confirmation of effectiveness on 11 March 2013.
The Appellants and Engine Holding GmbH have agreed out of court, to increase the cash compensation for the remaining minority shareholders of Tognum AG and for those former shareholders of Tognum AG, who have accepted the cash compensation offer under the domination and profit and loss transfer agreement effective since 19 December 2012, to an amount of EUR 30.00 plus EUR 1.61 for the guarantee dividend under the domination and profit and loss transfer agreement for 2012, i.e. EUR 31.61 per bearer share.
